Milan, June 11 (LaPresse) – A complaint has been filed by Mediobanca with the Milan Public Prosecutor's Office regarding the public exchange offer launched by Monte dei Paschi di Siena (MPS) targeting Piazzetta Cuccia.
According to reports, the complaint – submitted in recent weeks – mirrors one already sent to Consob in March, suggesting the possible existence of a coordinated effort (‘concert party’) between Francesco Gaetano Caltagirone’s group and Delfin, the holding company of the Del Vecchio family. Both are shareholders in MPS, Generali, and Mediobanca, and allegedly aimed to acquire control of the institution led by Alberto Nagel, who is also the main shareholder of Generali (“Il Leone di Trieste”).
The Milan Prosecutor's Office has opened a Model 45 file, used for reports that do not constitute a criminal offense and with no suspects. At present, no investigative activities are planned, nor have any mandates been given to the financial police (Guardia di Finanza).
Checks on potential irregularities are currently entrusted to the regulatory authorities, namely Consob and the Bank of Italy, both of which were alerted by Mediobanca. An ordinary shareholders' meeting has been scheduled for June 16.
